TERMS OF SERVICE

By engaging DevFusion for any service — whether through our website contact form, Upwork, direct email, or any other channel — you agree to the following terms. Please read them carefully before proceeding with any engagement.

1. Services

DevFusion provides DevOps engineering, Odoo infrastructure, cloud architecture, server migration, CI/CD pipeline setup, and related technical services as described on our Services page and in individual project proposals or contracts.

The specific scope, deliverables, timeline, and pricing of any engagement are defined in a written proposal or statement of work agreed upon before work begins. This Terms of Service document governs the general relationship; the project-specific agreement governs the specific engagement.

2. Payment Terms

Fixed-price projects are invoiced based on milestones or upon completion, as specified in the project agreement. Payment is due within 7 days of invoice unless otherwise agreed in writing.

Retainer engagements are billed monthly in advance. Failure to pay within 14 days of the invoice date may result in suspension of ongoing services.

Payments made through Upwork are governed by Upwork's Terms of Service. Direct payments are processed via bank transfer or agreed-upon payment platforms.

All prices are in USD unless otherwise stated. DevFusion reserves the right to require a deposit for projects exceeding $500 in value.

3. Intellectual Property

Upon receipt of full payment, the client owns all custom code, configurations, and deliverables created specifically for their project. This includes custom Odoo modules, infrastructure scripts, and documentation produced during the engagement.

DevFusion retains ownership of any proprietary frameworks, boilerplate code, or tools that are incorporated into deliverables but were developed independently of any client project. Where such tools are included, DevFusion grants the client a perpetual, non-exclusive licence to use them.

Third-party software, open-source libraries, and platform subscriptions remain subject to their respective licences. DevFusion is not responsible for ensuring licence compliance for software not sourced by DevFusion.

4. Confidentiality

DevFusion treats all client systems, credentials, data, and business information as strictly confidential. We do not share client information with third parties without written consent.

Credentials provided to DevFusion for the purpose of infrastructure access are stored securely and revoked immediately upon project completion unless ongoing access is required under a retainer agreement.

DevFusion may mention that a category of client (e.g., "UK-based steel manufacturer") exists for portfolio purposes without disclosing any identifying information.

5. Client Responsibilities

Clients are responsible for providing accurate information, timely access to systems, and necessary approvals to allow DevFusion to complete the agreed work.

Clients are responsible for maintaining up-to-date backups of their data and systems before any migration, upgrade, or infrastructure change is performed. DevFusion will advise on backup procedures but is not liable for data loss if a client-maintained backup is inadequate or absent.

Clients are responsible for all third-party service costs (hosting providers, software licences, domain registrations) unless DevFusion has explicitly agreed in writing to procure these on the client's behalf.

6. Limitation of Liability

DevFusion's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that specific engagement.

DevFusion is not liable for indirect, incidental, or consequential damages, including lost revenue or business interruption, even if advised of the possibility of such damages.

Production infrastructure carries inherent risk. DevFusion applies professional standards and best practices to minimise risk, but cannot guarantee that systems will be free from all failures or vulnerabilities.

7. Warranties

DevFusion warrants that services will be performed with professional skill and care, and that deliverables will conform to the agreed specification at the time of delivery.

DevFusion will remedy defects in deliverables identified within 14 days of project completion at no additional charge, provided the defect arises from DevFusion's work and not from changes made by the client or third parties after delivery.

No other warranties, express or implied, are provided. DevFusion does not warrant the fitness of third-party platforms, hosting providers, or open-source software for any particular purpose.

8. Termination

Either party may terminate an engagement by providing written notice. For fixed-price projects, the client is liable for work completed up to the termination date. For retainer agreements, the current month's retainer fee is non-refundable.

DevFusion may terminate an engagement immediately if a client engages in abusive conduct, fails to make payment after due notice, or requires DevFusion to perform work that is illegal or unethical.

9. Governing Law

These Terms are governed by the laws applicable to the jurisdiction of Pakistan. Any dispute arising under these Terms that cannot be resolved by mutual agreement shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

For clients in other jurisdictions, DevFusion is open to agreeing upon an alternative governing law in the project-specific contract.

10. Changes to These Terms

DevFusion may update these Terms of Service from time to time. The current version will always be published at this URL. Continued use of our services after an update constitutes acceptance of the revised terms.
